Terms of Service
Effective date: September 24, 2026
Last updated: September 24, 2026
ParentWellCare is not an emergency service. We do not call 911 or any other emergency service. If you or someone else may be having an emergency, call 911 or the local emergency number right away. Do not wait for, or rely on, ParentWellCare.
Please note: Section 25 contains an arbitration agreement. Unless you opt out within 30 days, it requires most disputes to be resolved by individual arbitration instead of in court, and it waives class actions and jury trials. You are giving up your right to sue in court.
1. About these Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "Customer") and ParentWellCare LLC, a New Jersey limited liability company ("ParentWellCare," "we," "us," or "our"). They cover your use of the ParentWellCare website, app, telephone check-in calls, text messages, emails, AI-powered features, family summaries, alerts, and related services (together, the "Service").
By creating an account, starting a free trial, purchasing a subscription, checking a box to accept these Terms, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What ParentWellCare is
ParentWellCare is an AI-assisted wellbeing check-in, companionship, and family-communication service. It helps families stay connected with a loved one through scheduled telephone conversations and related summaries and notifications.
The Service may include:
- Scheduled AI-powered check-in calls;
- General wellbeing conversations;
- Family summaries based on check-in conversations;
- Text message, email, and phone call notifications;
- Attempts to identify statements that may indicate a potential concern, and notifications to designated family contacts when that happens; and
- Other family-connection and wellbeing features.
ParentWellCare is meant to add to ordinary family contact. It does not replace professional care, emergency services, or appropriate human supervision.
3. Not an emergency service
PARENTWELLCARE IS NOT AN EMERGENCY SERVICE AND DOES NOT CALL 911.
ParentWellCare is not:
- A 911 or emergency-response service;
- A medical-alert, personal emergency response, or life-safety monitoring system;
- A medical device;
- A healthcare provider, physician, nurse, therapist, psychologist, or other healthcare professional;
- A 24-hour monitoring service;
- An ambulance or emergency-dispatch service; or
- A substitute for professional caregiving, appropriate in-person supervision, or contact with healthcare providers or emergency services.
ParentWellCare does not diagnose, treat, cure, prevent, or monitor any disease or medical condition, and does not provide medical, psychiatric, psychological, clinical, or other professional healthcare advice.
If you or anyone else may be experiencing an emergency, call 911 or the local emergency number immediately. You agree not to use ParentWellCare as your only or main way of monitoring another person's health, safety, or wellbeing.
4. AI-powered service
ParentWellCare uses artificial intelligence and automated technology to provide parts of the Service. The AI voice on check-in calls may be called "Elise" or another name we choose. The person receiving check-in calls is told that the calls are made by an AI-powered, automated service.
AI makes mistakes. The Service may mishear speech, misunderstand context, transcribe information incorrectly, produce inaccurate or incomplete summaries, miss relevant information, or make other errors.
AI-generated information is provided only for general wellbeing, companionship, and family communication. Do not rely on it for medical, clinical, legal, financial, emergency, or other professional decisions.
5. Wellbeing alerts
During a check-in call, the Service may try to identify statements that could indicate a potential health, wellbeing, or safety concern, such as mention of a fall, pain, difficulty breathing, being unable to get up, or significant distress. These examples do not mean the Service can reliably identify these or any other conditions.
If the Service identifies a potential concern, ParentWellCare will attempt to notify your designated family contacts by text message, email, and automated phone call.
No detection guarantee
We do not guarantee that the Service will detect any emergency, injury, fall, illness, medical or mental-health condition, safety issue, distress, or other concern. The Service can generally work only with what is said or made available during the call, and it may misunderstand or miss that information.
No delivery guarantee
We do not guarantee that any alert, call, text, email, or summary will be generated, sent, delivered, received, read, understood, or acted on. Communications can be delayed or fail because of phone network problems, carrier filtering, internet outages, incorrect contact information, third-party provider failures, device settings, or other causes.
We do not contact emergency services
ParentWellCare does not contact 911, police, ambulance services, emergency medical personnel, or other emergency responders on anyone's behalf. Every alert we send states that no emergency services have been contacted. Receiving an alert does not mean help is on the way.
You and your designated contacts are responsible for deciding whether to contact emergency services, healthcare professionals, caregivers, family members, or anyone else.
6. Your responsibilities
You are responsible for:
- Providing accurate and current information, including phone numbers and email addresses for you and your designated contacts;
- Updating contact information when it changes;
- Reading ParentWellCare communications and deciding whether to act on them;
- Making sure appropriate access to emergency services, healthcare providers, caregiving, and supervision is in place when needed; and
- Not using ParentWellCare as a substitute for emergency, medical, caregiving, or monitoring services.
Do not assume nothing is wrong just because you did not receive an alert.
7. The person receiving calls
The person who receives check-in calls (the "Recipient") is usually not the Customer who pays for the subscription. Before any recurring calls or messages begin, ParentWellCare asks the Recipient directly for consent, for example by asking them to reply YES to a text message. Calls do not start until the Recipient consents.
By adding a Recipient, you confirm that you have told them about ParentWellCare, that they are an adult, and that you have a genuine family or caregiving relationship with them. You may not sign up anyone without their knowledge.
The Recipient can stop calls or messages at any time by replying STOP, by telling Elise during a call, or by emailing care@parentwellcare.com. If the Recipient withdraws consent, the Service cannot continue for that Recipient.
8. SMS / text messaging
Program: ParentWellCare family check-in and alert messages.
By separately opting in to ParentWellCare text messages, you agree to receive service-related text messages at the mobile number you provide. Messages may include consent requests, check-in summaries, account notices, service notifications, and potential wellbeing or safety alerts.
- Message frequency varies.
- Message and data rates may apply.
- Reply STOP to stop receiving messages. Reply HELP for help, or email care@parentwellcare.com.
- Carriers are not liable for delayed or undelivered messages.
- If you reply STOP, you will no longer receive text alerts, including wellbeing alerts.
Consent to receive text messages is not a condition of any purchase, except where a message is necessary to provide a feature you asked for. We do not currently send marketing texts; if we ever do, we will ask for separate consent where the law requires it.
ParentWellCare does not sell SMS opt-in information. Mobile numbers and text-message consent information will not be shared with third parties or affiliates for their marketing or promotional purposes. We share information with service providers only as needed to deliver messages and operate the Service.
9. Health and wellbeing information
Check-in conversations may include information about general health and wellbeing, energy, pain or symptoms mentioned during calls, sleep, appetite and eating, mood, daily activities, social connection, and anything else voluntarily shared.
We use this information to:
- Hold check-in conversations;
- Create summaries and family communications you have requested;
- Identify potential wellbeing or safety concerns;
- Operate, secure, troubleshoot, and improve the Service; and
- Comply with legal obligations.
We do not use this information to diagnose or treat any medical condition. We do not sell it, and we do not use it for third-party targeted advertising.
10. Privacy
We handle personal information according to our Privacy Policy and applicable law. If these Terms and the Privacy Policy conflict about how personal information is collected, used, kept, or shared, the Privacy Policy controls.
ParentWellCare does not sell personal information. We may disclose information when reasonably necessary to operate the Service, comply with the law, enforce these Terms, protect the rights or safety of ParentWellCare or others, investigate misuse, or complete a merger, acquisition, financing, reorganization, or sale of assets, subject to applicable law.
11. Service providers
ParentWellCare relies on outside providers for parts of the Service, including artificial intelligence, speech-to-text, text-to-speech, telephone and SMS, cloud hosting and databases, email delivery, and payment processing.
Current providers include Anthropic, Deepgram, ElevenLabs, Twilio, Supabase, Vercel, Railway, Resend, Stripe, Google Workspace, and Meta (WhatsApp). Our Privacy Policy explains what each one receives. We may change providers as the Service develops. These providers process information only as needed to provide their services to us, under their agreements with us and applicable law.
12. Technology failures
ParentWellCare does not control phone carriers, internet providers, mobile devices, email providers, AI providers, cloud infrastructure, payment processors, or other third-party systems. The Service may sometimes be delayed, interrupted, unavailable, or inaccurate because of these systems or other events outside our reasonable control, such as outages, carrier filtering, equipment failures, or natural disasters.
To the extent permitted by law, ParentWellCare is not responsible for interruptions, delays, or failures caused by circumstances outside its reasonable control.
13. Data security, retention and privacy rights
How we protect, keep, and delete personal information, and the privacy rights you and the person receiving calls may have, are described in our Privacy Policy. You are responsible for keeping your account login secure.
14. Where the Service is available
ParentWellCare is currently offered only in the United States. Customers, designated contacts, and Recipients must use U.S. phone numbers. We may expand to other countries in the future and will update these Terms when we do.
15. Adults only
ParentWellCare is for adults 18 and older. Customers, designated contacts, and Recipients must all be adults. We do not knowingly provide check-in calls to, or collect personal information from, anyone under 18. If we learn that we have, we will take appropriate steps to delete that information.
16. Accounts
You agree to give accurate account information and keep your login details confidential. You are responsible for activity in your account to the extent permitted by law. Tell us promptly at care@parentwellcare.com if you believe someone has used your account without permission.
We may suspend or close accounts that violate these Terms, misuse the Service, create security risks, interfere with the Service, or are used unlawfully.
17. Free trial and subscriptions
Free trial
New subscriptions may start with a 7-day free trial. You will not be charged during the trial. Unless you cancel before the trial ends, your subscription will begin automatically and your payment method will be charged the subscription price shown at checkout. You can cancel during the trial at no cost (see Section 18).
Automatic renewal
The price, billing frequency (monthly or yearly), and other key subscription terms are shown before you subscribe. Your subscription renews automatically at the end of each billing period at the then-current price until you cancel. By subscribing, you authorize our payment processor, Stripe, to charge your payment method for each renewal until you cancel.
Price changes
We may change subscription prices for future billing periods. We will give you advance notice as required by law, and you can cancel before the new price takes effect.
18. Cancellation
You can cancel at any time through your account, where that option is available, or by emailing care@parentwellcare.com with the subject line "Cancel my subscription." We will confirm your cancellation by email.
Cancellation stops future renewals. It takes effect at the end of your current paid period unless the law requires otherwise, and you keep access until then. If you cancel during the free trial, you will not be charged.
19. Refunds and billing
Except where required by law or where we state otherwise, payments are non-refundable once a paid billing period begins, and we do not give partial refunds for unused time.
If you think you were billed incorrectly, contact care@parentwellcare.com promptly. We will look into it and correct genuine billing errors.
Nothing in these Terms limits any payment-dispute, cancellation, refund, or other consumer right that cannot legally be waived.
20. Acceptable use
You may not use ParentWellCare:
- For unlawful or fraudulent purposes;
- To harass, threaten, abuse, monitor without consent, or impersonate anyone;
- To sign up a Recipient without their knowledge, or without any consent the law requires;
- To interfere with or disrupt the Service, or try to gain unauthorized access to our systems;
- To introduce malicious software;
- To reverse engineer the Service, except where that restriction is prohibited by law; or
- In a way that infringes anyone's rights.
We may suspend or end access for violations of this Section.
21. Intellectual property
ParentWellCare and its licensors own all rights in the Service, including its software, website, designs, branding, content, and technology, other than content owned by users or third parties. We give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose under these Terms. No ownership rights transfer to you.
22. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PARENTWELLCARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PARENTWELLCARE DOES NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE; THAT CALLS WILL ALWAYS CONNECT; THAT MESSAGES OR ALERTS WILL ALWAYS BE DELIVERED; THAT AI-GENERATED INFORMATION WILL BE ACCURATE OR COMPLETE; THAT THE SERVICE WILL IDENTIFY EVERY POTENTIAL CONCERN; OR THAT THE SERVICE WILL BE ERROR-FREE.
Some states do not allow certain warranties to be excluded. This Section does not exclude any warranty or consumer protection that cannot legally be excluded under the law that applies to you, including New Jersey law.
23. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PARENTWELLCARE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, PARENTWELLCARE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PARENTWELLCARE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limits apply whatever the legal theory, whether contract, tort, negligence, strict liability, statute, or otherwise.
These limits do not apply to liability for our gross negligence, willful misconduct, or fraud, or to any other liability that cannot be limited or excluded under the law that applies to you, including New Jersey law.
24. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless ParentWellCare and its owners, officers, employees, contractors, and agents from third-party claims, losses, damages, costs, and reasonable attorneys' fees arising from:
- Your unlawful or unauthorized use of the Service;
- Your material breach of these Terms;
- Information you provided that you were not authorized to provide, including signing up a Recipient without their knowledge; or
- Your violation of another person's rights or of applicable law.
This does not require you to indemnify us for our own negligence or misconduct. We may take part in the defense of any claim covered by this Section.
25. Arbitration agreement
Please read this Section carefully. It affects your legal rights. By agreeing to these Terms, you and ParentWellCare each agree to resolve disputes through binding individual arbitration instead of going to court. This means you are giving up your right to sue in court and have a judge or jury decide your claim. You may opt out as described below.
Try to resolve it first
Before starting arbitration, the party with a dispute must send a written description of it, including the relief requested, to the other party. Send yours to care@parentwellcare.com. We will send ours to the email address on your account. Both parties will try in good faith to resolve the dispute within 30 days.
Arbitration
If the dispute is not resolved within 30 days, either party may start arbitration. Except as stated below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at adr.org. A single neutral arbitrator will be selected under those rules. Neither party selects the arbitrator alone.
Fees are allocated under the AAA Consumer Arbitration Rules, which limit the fees a consumer pays. The arbitration may take place by phone, by video, on written submissions, or in person in the county where you live. The arbitrator may award any individual relief that a court could award, and must follow these Terms and applicable law. Judgment on the award may be entered in any court with jurisdiction.
Exceptions
Either party may bring an individual claim in small-claims court if it qualifies. Either party may ask a court for temporary injunctive relief to prevent immediate harm while arbitration is pending.
Your right to opt out
You may opt out of this arbitration agreement within 30 days after you first accept these Terms by emailing care@parentwellcare.com with the subject line "Arbitration Opt-Out" and your name and account email address. Opting out does not affect any other part of these Terms or your use of the Service.
Survival
This Section survives the end of your subscription or account. Nothing in it prevents you from exercising any right that cannot be waived by law.
26. Class action and jury waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PARENTWELLCARE AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND PARENTWELLCARE EACH WAIVE THE RIGHT TO A JURY TRIAL.
If this class action waiver is found unenforceable as to any claim, that claim will be decided in court, not in arbitration, and the rest of Section 25 continues to apply to all other claims.
27. Governing law
These Terms are governed by the Federal Arbitration Act and, otherwise, the laws of the State of New Jersey, without regard to conflict-of-law rules, except where the law of the place you live requires otherwise. For any dispute not subject to arbitration, you and ParentWellCare agree to the jurisdiction of the state and federal courts located in New Jersey, except where applicable law gives you the right to bring the claim where you live.
28. Changes to the Service
We may add, change, or discontinue features as the Service develops, and we do not guarantee that any feature will remain available. Where the law requires, we will give notice of material changes that affect paid subscriptions or your rights.
29. Changes to these Terms
We may update these Terms from time to time and will change the "Last updated" date when we do. For material changes, we will give notice by email, in the Service, or on our website at least 14 days before they take effect. If you do not agree to a change, you may cancel before it takes effect. Where the law requires your affirmative consent to a change, we will ask for it. Changes to Section 25 will not apply to disputes already notified to us before the change.
30. Termination
You may stop using ParentWellCare at any time. We may suspend or end access if reasonably necessary because of a material breach of these Terms, fraud or unlawful activity, security risks, abuse of the Service, failure to pay, or circumstances that make providing the Service unlawful or impracticable. Sections that by their nature should survive termination, including Sections 22 through 27, will survive.
31. General terms
Severability. If any provision of these Terms is found invalid or unenforceable, it will be enforced to the extent permitted by law or removed, and the rest of these Terms will remain in effect.
No waiver. If we do not enforce a provision, that does not waive our right to enforce it later.
Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, financing, reorganization, or sale of assets, subject to applicable law.
Entire agreement. These Terms, together with our Privacy Policy and any consent and subscription disclosures shown to you, are the entire agreement between you and ParentWellCare about the Service and replace any earlier agreements on the same subject.
32. Your acknowledgment
By accepting these Terms, you confirm that you understand:
- ParentWellCare is a wellbeing, companionship, and family-communication service;
- ParentWellCare is not an emergency-response or medical-monitoring service and does not replace 911, professional healthcare, caregiving, or supervision;
- AI can make mistakes, and the Service may fail to recognize a potential emergency or concern;
- Calls, messages, and alerts are not guaranteed to be delivered;
- ParentWellCare does not contact emergency services on your behalf;
- You and your designated contacts are responsible for deciding whether emergency, medical, caregiving, or other help is needed; and
- Disputes are resolved by individual arbitration unless you opt out within 30 days.
If you or someone else may be experiencing an emergency, call 911 or the local emergency number immediately.
